Biography
Neil is an antitrust lawyer focusing on mergers and acquisitions and other antitrust matters before the Federal Trade Commission, the U.S. Department of Justice, state and international antitrust authorities, and U.S. Courts. He has represented and counseled clients in a wide variety of industries with extensive experience in energy, food, healthcare, aviation, media, retail, and technology. Neil has been recognized as a leading antitrust lawyer by a variety of national and international organizations.

Representative Experience
Energy View All
- Advised private equity company in connection with FTC investigation of its investment in taking one of the largest midstream companies in the US private. Negotiated a consent decree with the FTC to resolve competitive concerns
- Represented large midstream MLP in a post acquisition investigation by the FTC. Negotiated consent decree with the FTC involving asset divestitures
- Represented major oil company in connection with FTC investigation of pricing practices at the wholesale and retail levels
Food
- Advised in the sale of a company in the meat packing industry to a strategic buyer
- Represented buyer of brand name food product resulting in litigation with FTC
- Provided antitrust counseling and advice to a major food producer in a variety of transactions including joint venture formations, acquisitions, and distribution arrangements
Healthcare View All
- Advised on cash tender offer in the hospice care industry
- Represented the largest for-profit hospital company in a variety of antitrust matters, including several acquisitions investigated by the FTC, numerous Hart-Scott-Rodino matters; and general antitrust counseling
- Represented a manufacturer of automated drug dispensing equipment in a Federal Trade Commission investigation of the sale of the company to a drug distribution company
Media
- Represented the company that owned and operated the largest group of radio stations in the U.S. in several antitrust matters before the DOJ. Several transactions involved asset divestitures as a condition to a consent decree.
- Represented various TV and radio broadcasters in transactions involving investigations by the DOJ
- Represented a newspaper company on various antitrust matters
Retail
- Represented large natural and organic grocery store company in its acquisitions of another natural and organic grocery store company. The FTC investigation resulted in a preliminary injunction proceeding on Clayton Act Section 7 issues in the U.S. District Court and appeals to the U.S. Court of Appeals on a stay and on the appropriate standard to be used in a preliminary investigation determination involving FTC investigation.
- Represented a major oil company in an FTC investigation of the sale of a large number of its retail gasoline stations.

- Advised a company with patents in radio broadcast area in connection with DOJ investigation of related merger
- Represented a major computer manufacturer on various antitrust matters
- Represented a major communications/Internet equipment manufacturer before the Antitrust Section of the Department of Justice in acquisition of another equipment supplier company

- Advise major U.S. airline on variety of antitrust matters
- Represented a major telecommunications equipment manufacturer in connection with several transactions
- Represented a large manufacturer of check processing equipment in a DOJ investigation of its acquisition of another manufacturer
