Jeff is a litigator whose practice focuses on representing companies and their directors and officers in disputes relating to mergers and acquisitions, corporate governance, and federal securities laws. He has extensive experience at the trial and appellate levels in Delaware and federal courts. In addition to his litigation practice, Jeff regularly assesses potential litigation for clients planning transactions. Before joining Vinson & Elkins, Jeff served as a law clerk for the Honorable Gerard E. Lynch of the U.S. Court of Appeals for the Second Circuit and the Honorable Sidney H. Stein of the U.S. District Court for the Southern District of New York.
Delaware M&A and Corporate Governance Litigation
(Del. Ch.) – Defending SPAC directors and sponsor entities against fiduciary duty claims relating to approval of a de-SPAC transaction with hydrogen powered vehicle manufacturer
(Del. Ch.) – Defending private equity company in derivative litigation challenging a financing with energy company in which it holds substantial stock, successfully opposing plaintiff’s motion to expedite the litigation in light of energy company’s pending merger
(Del. Ch.) – Defending SPAC directors and sponsor entities against fiduciary duty claims relating to approval of a de-SPAC transaction with solar energy financing platform
(Del. Ch.) – Obtained post-trial judgment and affirmance by Delaware Supreme Court in favor of defendants in class action lawsuit seeking $1.6 billion in damages and alleging general partner breached its duties by agreeing to merge MLP with an affiliate energy company
(Del. Ch.) – Co-first chaired trial securing complete victory regarding the proper LLC membership interest in manufacturing company
(Del. Ch.) – Obtained dismissal of fiduciary duty claims against special committee members arising from their approval of merger of renewable power company with its controlling stockholder
(Del. Ch.) – Resolved for no monetary consideration derivative claim against general partner relating to its oversight of pipeline company’s operations
(Del. Super. Ct.) – Defended beverage company against tortious interference claim relating to an acquisition, which was favorably settled shortly before trial
(Del. Ch.) – Successfully opposed stockholder’s application for temporary restraining order that sought to extend aircraft leasing company’s director nomination window
(Del. Ch.) – Obtained favorable settlement on behalf of plaintiff minority member of alternative energy LLC for claims against managing member relating to the sale of the LLC
(Del. Ch.) – After narrowing claims through a motion to dismiss, obtained favorable settlement on behalf of private equity company and its director nominees as defendants for claims arising from the merger of two of its portfolio exploration and production companies
(S.D.N.Y.) – Defending SPAC directors and sponsor entities against Section 14(a) claims regarding proxy for de-SPAC transaction with solar energy financing platform
(S.D.N.Y.) – Defending crypto asset mining company and certain officers and directors against Section 11 claims regarding its IPO registration statement
(W.D.N.Y.) – Defending SPAC directors and sponsor entities against Section 14(a) and Section 10(b) claims regarding proxy for de-SPAC transaction with hydrogen powered vehicle manufacturer
(5th Cir.) – Obtained affirmance of dismissal of securities fraud claims challenging pipeline company’s disclosures regarding its operations and maintenance efforts
(3d Cir.) – Obtained affirmance of dismissal of securities fraud claims challenging death care company’s accounting and revenue recognition disclosures
(N.D. Tex.) – While motion to dismiss was pending, obtained favorable settlement on behalf of defendant private equity company for controller liability claims based on business risk and accounting disclosures of its portfolio manufacturing company
(E.D. Pa.) – In advance of summary judgment, obtained favorable settlement of securities fraud claims challenging exploration and production company’s disclosures in merger proxy statement
