Andrew represents companies in the energy industry in transactional and regulatory matters before the Federal Energy Regulatory Commission (FERC). He has advised clients on numerous regulatory issues related to the development of gas-fired and renewable generation, wholesale electricity markets, authorizations for the acquisition and divestiture of FERC-jurisdictional assets, tax equity investments, and a host of related issues under the Federal Power Act, Natural Gas Act, Interstate Commerce Act, the Public Utility Holding Company Act, and the Public Utility Regulatory Policies Act.
Regulatory
Represented a private equity investor in the development and execution of a regulatory compliance program with respect to the Federal Power Act and Order No. 860 database filings
Prepared preliminary merger market concentration analyses for numerous energy companies regarding the potential purchase of public utilities in concentrated markets
Counseled interstate natural gas pipeline through the certificate application process at the Federal Energy Regulatory Commission (“FERC”) under Section 7 of the Natural Gas Act (“NGA”), including drafting applications, resource reports, responses to numerous data requests, public scoping comments, and requests for rehearing
Represented interstate liquids pipelines through the drafting of applications for and amendments to Presidential Permits with the U.S. Department of State
Represented clients through the drafting of applications related to acquisitions of public utilities under Section 203 of the Federal Power Act
Research FERC and case law precedents on complex legal issues and draft lengthy comments in policy and rulemaking proceedings on behalf of industry leading clients
Represented independent power producers in negotiating and drafting of interconnection agreements, shared facilities agreements, and multi-party facility construction agreements
Represented tax equity investors in passive interest analyses and the drafting of consent rights pursuant to FERC precedent
Represented Stonepeak with jurisdictional analyses, regulatory matters, and drafting of key agreements related to its approximately $3 billion acquisition of a 50% interest in the Coastal Virginia Offshore Wind project, which at 2.6 GW is expected to be the largest offshore wind project in the U.S. and one of the largest offshore wind projects globally upon completion
Affiliates of Global Infrastructure Partners in the acquisition of a 50 percent interest in the multi-billion dollar South Fork and Revolution Offshore Wind Projects off the East coast of the United States from Eversource Energy, including the negotiation of the joint venture arrangements with Orsted for the construction and operation of the projects and all financing arrangements
Represented an independent power producer in the drafting and negotiating of natural gas sales agreements and backup diesel supply agreements
Represented various producers and intra- and interstate pipelines in the negotiation and drafting of midstream agreements, including natural gas gathering and processing agreements, crude oil purchase agreements, transportation service agreements, and agreements for the sale and purchase of natural gas and liquids
Conducted regulatory assessment and due diligence on behalf of purchasers in connection with the acquisition of power generation facilities, natural gas pipeline facilities, and liquids pipeline facilities
Counseled client through a show cause proceeding and appeal at the D.C. Circuit regarding jurisdictional issues with respect to the development of an LNG import facility
Counseled clients through prosecuting complaints against Regional Transmission Organizations and Independent System Operators challenging existing tariff language and market designs under Section 206 of the Federal Power Act
Successfully represented an interstate natural gas pipeline in a FERC complaint proceeding, including discovery, motions to dismiss, various answers, and a multi-day hearing at FERC
