Layton’s principal areas of practice are corporate finance and securities law, including initial public offerings, other public offerings and private placements of equity and debt securities, and general corporate representation, including periodic reporting compliance and corporate governance matters.
His capital markets experience includes representation of issuers and underwriters in public and private offerings of debt and equity securities, including initial public offerings. He also works with private equity investors and a variety of other public and private companies in connection with mergers, acquisitions and reorganization transactions. Layton has particular experience with clients in the energy industry, including oil and gas exploration and production, midstream and oilfield services companies, as well as publicly traded master limited partnerships and Special Purpose Acquisition Companies (SPACs).
