In this Lexology masterclass, Rebecca Fike, Jon Solorzano and Sarah Morgan discussed how companies can navigate the at-times challenging interplay between fiduciary duties and ESG priorities. In the presentation, they also discussed issues companies and directors need to consider when addressing stakeholder interests, especially at a time of heightened proxy activity, rising “greenwashing” risks and increased SEC rulemaking and enforcement actions. The program also touched on the balancing act between managing internal, near-term financial pressures with long-term ESG-related goals, many of which may be coming from outside stakeholders, as well as the recent anti-ESG movement and political pressures.
