Powering Texas: Roadmap for Structuring Bankable TEF Projects

In this program, we explored the intricacies of developing government-funded projects, with a focus on the Texas Energy Fund (TEF) loan program. Vinson & Elkins’ finance, project development, construction, and regulatory lawyers provided insights into critical loan qualification and bankability considerations.

We addressed how these may impact the terms of key project agreements, including EPC contracts, PPAs, and O&M arrangements. Additionally, drawing from our extensive experience representing developers in recent Department of Energy loan processes and other government-funded projects, we highlighted critical aspects to be aware of and potential pitfalls to avoid when undergoing due diligence and negotiating loans and project documentation. We discussed strategies for navigating a diverse set of development and financing challenges to create successful TEF projects, mitigate risks and optimize returns for project developers and investors.
