Vinson & Elkins advised Archaea Energy Inc., the industry-leading renewable natural gas (“RNG”) producer in the U.S., in a joint venture with Republic Services, Inc., a leader in the environmental services industry, to develop 39 landfill gas to RNG projects across the country.

The parties will contribute approximately $1.1 billion to the joint venture over five years. The partnership, the country’s largest RNG portfolio build-out to date, will convert landfill gas into pipeline-quality RNG that can be used for a variety of applications to displace gas from fossil fuels. The initiative is expected to generate substantial progress towards Republic’s long-term sustainability goal to beneficially reuse 50% more biogas by 2030.

The V&E corporate team was led by partners Matt Falcone and Alan Alexander, with assistance from senior associates Caroline Kuehn and Stephanie Coco and associates John Larbalestier, Vestita Kuntz, Ryan Bullard and Hunter Albritton. Advising on tax matters were partner Lina Dimachkieh, counsel Allyson Seger and associate Tyler Underwood.

Announced April 28, 2022, V&E also recently advised Archaea in an agreement to acquire NextGen Power Holdings LLC.
