  • Represented a major private equity firm and its portfolio company in negotiating both a reserve-based working capital facility related to the acquisition of upstream oil and gas properties and a revolving loan secured by, and funding the acquisition of related midstream properties

  • Double Eagle Development, a leading Permian basin upstream developer and producer, in a series of syndicated, reserve-based credit facilities for its operating companies

  • Jonah Energy LLC, one of the leading sustainable natural gas producers in the U.S., in its inaugural securitized financing transaction involving $750 million of fully amortized notes backed by a portion of Jonah’s producing assets

  • Carlyle Power Partners in the negotiation of commodity and interest rate hedges in connection with the acquisition by Carlyle on behalf of its affiliate, Hamilton Projects Acquiror, in a $1.015 billion syndicated Term Loan B to finance the acquisition of the 829 MW Panda Patriot and the 829 MW Panda Liberty power generation facilities

  • Total Operations and Production Services in an upsize to its existing credit facility, bringing total commitments to $565 million

  • Crowley Holdings, a maritime, energy and logistics solutions company, in connection with a $300 million preferred equity investment in its subsidiary, Crowley Preferred Funding, LLC, from Global Infrastructure Partners and an affiliate of Crowley

  • Enviva Partners, world’s largest producer of sustainable wood pellets, in a $850 million joint term loan and revolving credit facility agented by Barclays Bank

  • Bastion Energy Topco, a portfolio company of Ares and Citadel, in a $1 billion acquisition financing of a portfolio of non-operated oil and gas leases, mineral interests and overriding royalty interests, including a syndicated, reserved-based revolving credit facility

  • Stronghold Digital Mining Holdings LLC, a Bitcoin mining company, as borrower, in a $58 million senior secured term loan with an alternative lender, including the issuance of warrants

  • Black Stone Minerals Company in a $550 million syndicated, senior secured, reserve-based revolving credit facility

  • Glenfarne Energy on behalf of its portfolio company Alder Midstream OpCo, LLC, in a $191.6 million syndicated, senior secured, multi draw term loan facility with Wells Fargo Bank, N.A. as agent for the lenders as part of a restructuring of a project financing of midstream and LNG assets

  • Citadel Energy Marketing LLC in a $400 million credit support facility to support the obligations of Guzman Energy LLC, a wholesale power provider with respect to up to 500 megawatts of purchased electrical generation capacity

  • Hedging agreement in connection with the financing by Gulf Coast Ammonia of a world-scale, hydrogen-based ammonia project in Texas

  • Negotiation of hedging agreements in connection with a securitization transaction by Terra Energy Holdings LLC, consisting of a private placement of $525 million notes by Terra ABS I LLC

  • A hedge provider of oil and gas hedges in connection with an oil and gas securitization financing transaction involving the private placement of $640 million notes

  • FourPoint Resources, LLC, Quantum Capital Group and Kayne Anderson in their $2.0 billion dollar acquisition of oil and gas properties in the Uintah Basin from Ovintiv Inc.

  • Black Stone Minerals Company, L.P. in a $550 million secured reserve-based revolving credit facility 

  • Upstream E&P company in a $65 million secured term loan in connection with the acquisition of equity interests and oil and gas properties

  • Apex International Energy L.P. in a $28.7 million secured letter of guaranty facility issued by HSBC Egypt in connection with the concessions for exploration on Egyptian government-owned land

  • Represented an asset management firm and its portfolio company, an energy transition company, in a multi-draw term loan for the construction of a wind turbine remanufacturing plant

  • Citibank in a $1 billion syndicated, asset-based credit facility to Transocean Inc. secured by a first lien in certain drillships

  • Initial purchasers’ counsel in connection with Transocean Guardian Limited’s private offering of U.S. $750 million in aggregate principal amount of senior secured notes due 2024

  • W&T Offshore, Inc. in a $300 million second lien term loan 

  • Pacific Drilling S.A. in a combined $2 billion financing, including a super-priority revolving facility and pari passu Term Loan B and 144A secured notes
