Experience Highlights
(Okla.) – Defending controller and board of directors against breach-of-duty claims in connection with controller’s take-private transaction of energy company; defending energy company in statutory appraisal litigation related to same take-private transaction
(Del. Ch.) – Represented sellers of technology company in Delaware Court of Chancery on breach of contract and fraud claims related to sales pipeline and accounting issues
(Harris Cty.) – Defended CEO of proppant and logistics services company against Texas Securities Act and negligent misrepresentation claims; obtained favorable settlement
(Del. Ch) – Defended fintech company against breach of contract and fraud claims brought by SPAC related to terminated de-SPAC transaction; obtained favorable settlement
(AAA Arbitration) – Represented large investment fund in a week-long arbitration hearing related to a minority owner’s consent and payment rights related to the expansion of a large export facility; presented and cross-examined fact and expert witnesses on finance concepts and contract formation issues
(Del. Ch.) – Obtained dismissal of breach of contract and tortious interference claims on behalf of company and board member related to securities offering
(Del. Ch.) – Defended private equity company in derivative litigation challenging a financing with energy company in which it holds substantial stock
Assisted with a comprehensive investigation into allegations of deficient internal audit practices made by a senior member of a public company’s internal audit team
Representing leading renewable energy company federal securities class action involving allegations of greenwashing
Represented the special committee of the board of directors of a biotechnology company in an internal investigation arising out of possible violations of the federal securities laws
