Katie’s practice focuses on the U.S. federal income tax aspects of domestic and international transactions and tax planning matters. She advises clients with regard to the U.S. federal income tax aspects of mergers and acquisitions, joint ventures, capital markets transactions, reorganizations, restructurings, and private equity.

Global Infrastructure Partners in its $3.9 billion joint venture with TC Energy to acquire a 40% interest in TC Energy’s Columbia Gas Transmission and Columbia Gulf Transmission systems
Rockcliff Energy II, a portfolio company of Quantum Energy Partners, in its $2.7 billion sale to TG Natural Resources
Stronghold Digital Mining, Inc., an ESG-focused crypto asset mining company focused on bitcoin, in its $146 million initial public offering of Class A common stock utilizing an Up-C structure
Stonepeak in the approximately $300 million acquisition of an interest in a portfolio of four U.S. onshore wind projects with a total capacity of 957 MW from Ørsted, including the financing for the consummation of the acquisition
Core Laboratories in its reorganization, including the redomestication of the parent company from the Netherlands to the United States
Lotus Midstream, an Encap Flatrock Midstream portfolio company, in its $1.45 billion sale to Energy Transfer LP
North Texas Public Broadcasting on the purchase of The Denton Record-Chronicle, the primary source of local news in Denton County, Texas
OCI Global (“OCI”) in all aspects of the development, and subsequent $2.35 billion sale, of its equity interests in a clean ammonia project under construction in Beaumont, Texas to Woodside Energy Group
