Meredith is a member of the firm’s Complex Commercial Litigation group. Her practice focuses on representing companies, partnerships, and officers and directors in M&A litigation, securities litigation, and general commercial disputes. She has represented clients at the trial and appellate levels in state and federal courts.
M&A and Commercial Litigation
(Del. Ch.) – Defending private equity sponsor against fraud claims and alleged damages of $150 million relating to sale of its portfolio company
(Okla.) – Defending controller and board of directors against breach-of-duty claims in connection with controller’s take-private transaction of energy company; defending energy company in statutory appraisal litigation related to same take-private transaction
(Arbitration) – Representing major financial institution in arbitration proceedings seeking more than $400 million in damages due to a contractual dispute stemming from Winter Storm Uri
(Del. Ch.) – Obtained post-trial opinion permitting energy company to terminate merger agreement based on the failure of a condition precedent relating to the provision of a tax opinion; decision was affirmed by the Delaware Supreme Court
(Del. Ch.) – Obtained take-nothing post-trial judgment in a class action lawsuit challenging an energy company’s securities issuance; decision was affirmed by the Delaware Supreme Court
(Del. Ch.) – Obtained post-trial judgment in favor of defendants in a class action lawsuit alleging that a midstream MLP’s general partner had breached its duties when agreeing to merge the MLP with an affiliated energy company; decision was affirmed by the Delaware Supreme Court
(Del. Ch) – Defended fintech company against breach of contract and fraud claims brought by SPAC related to terminated de-SPAC transaction; obtained favorable settlement
(Del. Super. Ct.) – Defended beverage company against tortious interference claim relating to an acquisition; obtained favorable settlement
(Arbitration) – Obtained multi-million advancement ruling on behalf of private equity sponsor related to sale of its portfolio company
(S.D.N.Y.) – Obtained complete dismissal of breach-of-contract claims brought by warrant-holders in connection with a merger
(S.D. Tex.) – Defeated a unitholder’s attempt to enjoin a merger between an MLP and its affiliate under federal securities laws
Represented the Special Committee of a Board of Directors of a biotechnology company in an internal investigation arising out of possible violations of the federal securities laws
Represented pharmaceutical company in connection with external investigations by FINRA and the SEC
