Nicole’s practice focuses primarily on executive compensation and employee benefit matters. Her practice involves advising clients with regard to the design, implementation, and administration of executive compensation arrangements and severance, change in control, bonus, and retention agreements. She regularly counsels clients on deferred and non-qualified compensation arrangements, director compensation programs, equity compensation and cash-based incentive plan arrangements, as well as, employee and compensation-related issues in mergers and acquisitions. She also has extensive experience counseling clients with all aspects of corporate governance, tax and ERISA compliance for employer-sponsored benefit programs, including defined benefit, 401(k), ESPPs, and health and welfare plans. Prior to joining V&E, Nicole was Legal Counsel-Employee Benefits at ONEOK, Inc. where she handled all aspects of legal compliance for the company’s various benefit plans and compensation programs.
